GOVERNING RULES AND BYLAWS
ADVERTISING GOLF ASSOCIATION OF OREGON

Founded 1957.  Revised March 7, 1991 and November 1997, 1998, 1999 and 2005

ARTICLE I

The name of the Association shall be
Advertising Golf Association of Oregon (AGA)

 

 

ARTICLE II

 

Purpose of the Association

 

The objectives of AGA shall be:

 

1. To promote the good fellowship among the members of the advertising fraternity in the state of Oregon.

2. To improve and facilitate the exchange of information among members.

3. To hold regular golf tournaments over the spring, summer and early fall months of each year.  The frequency and sites of such tournaments to be determined by the duly appointed Vice President of AGA in conjunction with the arrangements committee and the advice and consent of the Board of Directors.

4. To cooperate with other AGA groups nationally and to support the National Advertising Golf Association (NAGA).

5. To participate in positive community support through regular contributions to a legally constituted charity (ies) approved by the Board of Directors.

6. In the event of dissolution of this association, its assets shall be given to a legally constituted charity (ies) approved by the Board of Directors.

7. The AGA of Oregon shall function as a non-profit organization


ARTICLE III

 

Membership – Fees – Dues

 

Section 1 - Membership in AGA is primarily limited to those in the Advertising business or those directly associated with it.  Spouses of AGA members will not be eligible for membership in the Association except in instances where the spouse was, in the past, a member of the Association in good standing or is a member of the advertising profession in his/her own right.

Section 2 - There is one fee for “golf only” or “golf and dinner” at AGA tournaments.  There is one fee for “dinner only” at tournaments.  Fees for members and guests for each tournament, annual dues for new and returning members and initiation fees for new members will be determined by the Board of Directors and published in the annual “Membership Roster and Tournament Schedule”.

Section 3 - Integrity and professional conduct is an AGA tradition.

 

 

ARTICLE IV

 

Board of Directors, Officers and their duties.

 

Section 1 - Robert’s Rules of Order shall govern all proceedings.

 

Section 2 - The primary duties of the Board of Directors are:

 

a. To make all policy decisions for AGA of Oregon in those matters in areas of activity, which may have a long-term effect on the general membership and its makeup.  A two-thirds vote of the Board of Directors shall be necessary to effect any policy change in the existing Bylaws.  Any such change will be added to the Bylaws annually.

b. To be responsible for the continued success, stability and longevity of AGA of Oregon by appointing suitable and desirable people to line officer positions and Committee Directors.  These appointments are to be made in conjunction with the President-Elect.

 

Section 3 - The Board of Directors shall be elected by a majority vote of a mail ballot by the membership.  The Board of Directors will consist of six members, with three directors elected each year for a term of two years.  The Board of Directors shall elect a Chairman, Vice-Chairman and Secretary.  The members of the board will consist of a Chairman, a Vice-Chairman, a Secretary, one member at large, the Past-President (serving his second year) and the current President of AGA.  (Serving his first year).  Three members will be elected each year to serve a term of two years.  Board members may be re-elected, as there are no term limitations.  A mail ballot will be mailed immediately following the next-to-last tournament of the year.  Those members not returning mail ballots shall be deemed as casting affirmative ballots.  Results of the election will be announced at the last tournament and published in the last annual edition of Backswing.

The Secretary of the Board of Directors will be responsible for taking minutes of all meetings of the Board of Directors and maintain all appropriate records.  The Secretary will also keep job descriptions and responsibilities of all AGA Board of Directors, line officers and committees

Section 4 - The Chairman of the Board of Directors shall appoint a nominating committee, which will make recommendations for the Board vacancies and the next AGA President.  These nominations must be approved by the majority of the Board prior to the mailing of the ballot to the membership for election voting. 

Section 5 - The President of AGA is responsible to the full Board of Directors for the day-to-day and/or tournament-to-tournament decisions.  It is the responsibility of the President to preside over tournaments of AGA and the general administration of AGA, i.e. overseeing all tournament functions and AGA business in concert with other line officers and AGA Committees.  The input of the Board of Directors is deemed advisable.  Policy matters shall be the responsibility of the Board of Directors.

Section 6 - The Vice-President, Secretary, Treasurer and Tournament Chairman will be appointed by the Board of Directors.  The line officers are responsible to the AGA President.           

Section 7 - Duties of the line officers:

The President and Vice-President must both sign all contracts with golf clubs for tournaments.

 VICE-PRESIDENT.  Shall, in concert with the Arrangements Committee, arrange for tournament sites and dates.  Shall oversee the details of tournaments including liaison with the club professional and the management of the club.  Shall perform all the functions of the President in his absence.  Any perk or gratuity offered to an AGA person in the negotiating process for courses must be passed on to AGA.

TREASURER.  Shall be responsible for all monies received and dispersed.  Shall make appropriate reports to the President and Board of Directors.  Shall have checking signing authority with one signature.  (The President shall also have check signing authority).  The Treasurer will keep appropriate records of income and expenditures.

SECRETARY.  Will take and publish minutes of all meetings of line officers and submit to the Chairman of the Board of Directors.  Any fund-raising activities (with the exception of the Auction) will report to the Secretary.

TOURNAMENT CHAIRMAN.  Shall, with the Tournament Committee, be responsible for the following:

 

1. Contact each club professional to determine format of play, starting times and other details concerning actual operation of the tournament.

2. Receive, record and arrange all AGA players groups and handicaps, (in conjunction with the Scoring Committee) assign starting times, prepare the tournament play list, arrange with the professional or assign a temporary employee to check in players at the tournament, disburse receipts to players and turn over all monies and needed records to the Treasurer.

 3. Shall, with the tournament committee, review all scores for the day, define class, flight and runner-up winners and report to the President who will make the awards.  Shall also furnish all tournament information to the Backswing editor for publication and distribution to AGA members.

 

ARTICLE V 

Section 1 - A copy of the Bylaws should be distributed to each member of AGA of Oregon.  New members should also receive a copy of the Bylaws.  Bylaws, if amended, should be distributed to all members of AGA of Oregon.

Section 2 - It is further noted that while the Rules of Play for AGA of Oregon are not an integral part of these Bylaws, they should be recognized as the basic format for tournament play for AGA of Oregon and should be published in the annual “Membership Roster and Tournament Schedule”.  Other formats such as “mixers” and other special formats may be instituted for specific tournaments at the discretion of the Officers with approval by the Board of Directors.


ARTICLE VI

 

Special Awards (Annual)

 

Section 1 - DON LAWTON FOUNDER’S TROPHY.  Three qualifications will be considered in making this award:

1. Significantly consistent improvement of one’s golf game in AGA play.

2. Consistent observance of rules and etiquette of golf and principals of AGA on and off the course.

3. Participation in a least four of the home AGA tournaments during the current season. 

The award will be made at one of the last two AGA meetings of the year and will include a rotating trophy.

 

Section 2 - THE PRESIDENT FRANK TROPHY (in memory of Frank Coffin, former President of AGA).

1. - Given annually to the member with the lowest average net of four best games of the year.

 

Section 3 - THE JACK MOYS OUTSTANDING SERVICE TROPHY.

1. Awarded annually by the President to the member whose generous spirit and devotion to AGA are worthy of special commendation.

 

Section 4 - THE PAST PRESIDENT’S TROPHY

1 Awarded to the low net Past President in the annual Past President’s Tournament.  (Held in conjunction with one regular AGA event.  Handicap used is the current USGA index, adjusted to the course being played.)

 

 

ARTICLE VII

 

NAGA Team Selection

 

A four-person team will be selected to represent AGA of Oregon.  The selection committee will be made up of the Chairman of the Board, The AGA President, The NAGA Representative and the Scoring Chairman.  To be considered as one of the team members, the following criteria must be met.

1. Member in good standing of AGA of Oregon for a minimum of two consecutive years.

2. Must have an established, active USGA Golf Handicap Information Network (GHIN) card.

3. Must have pre-registered and paid participation fees to attend NAGA.

 

Selection Data

Four team members will be selected on the following basis:

1. Analysis of the best three qualifying AGA scores using their current monthly USGA index/handicap.

2. The team should be comprised of one person in the “A”, “B” and “C” handicap groups, realizing the maximum allowable NAGA handicap is 28.  The fourth person can be selected from any of the three handicap groups.

3. An alternate will be selected by the committee for each player group, “A”, “B” and “C” for substitution, if necessary.

4. The latest 20 GHIN scores should be considered in the selection of team members.

5. No member can be a team member for two consecutive years.

 

Financial Support

The following people will receive maximum support:

1. Four “team” members

2. The AGA of Oregon President

3. The NAGA Representative

4. The Auction Chairman

5. Any member of the NAGA Executive Board, should there be one.  A member of the NAGA Executive Board would also receive travel expenses (only) for transportation to the Spring NAGA Executive Board Meeting.

6. Any special selection voted on and approved by the Board of Directors.

All other people are eligible to receive financial support under these guidelines:

1. Be a member in good standing of AGA of Oregon

2. Actively participated in the NAGA Auction as a donor, purchaser or worker

3. Support funds are distributed based on Board of Directors recommendations

4. At no time will financial support exceed actual costs

5. Support funds will not be distributed to the member until the member has competed in three of the scheduled annual tournaments
